Retail businesses in Valencia: buying, selling and valuation

Retail trade is one of the activities with the most premises in the province of Valencia: 25,272 active establishments as of 2025, according to the INE (Spanish National Statistics Institute), 46.4% of those in the Valencian Community (Comunidad Valenciana). It includes food, fashion, pharmacies, hardware stores, bookshops, electronics, petrol stations and online sales, among others. Here, Valencia means the province of Valencia, not only the city.

The figure counts shops and points of sale, not companies, and leaves out vehicle sales and wholesale trade, which is covered on the distribution page. A chain with several shops appears as many times as it has premises open.

What affects the value of retail businesses in Valencia

For a high-street shop, the location and the lease explain much of the business. A buyer studies footfall in the area, the remaining term of the lease, rent relative to sales and the conditions for assignment. If the lease does not allow the buyer to stay in the premises on similar terms, what is being sold shrinks to the stock and the brand.

Inventory deserves its own analysis. Current-season goods are not worth the same as stock accumulated from previous years, and the buyer will want to count it and value it at real cost, writing off anything obsolete. Having a management system with reliable stock levels per item speeds up that part of the negotiation considerably.

Sales channels are valued too. A shop that sells both in store and online, with a base of identified customers, a loyalty programme or recurring orders from businesses, depends less on passing trade. If the shop operates as a franchise or official distributor of a brand, the contract with head office and its approval of the change of owner are decisive.

Finally, gross margin and how it has evolved say more than turnover. Two shops selling the same can earn very different amounts depending on their purchasing terms, their discounting policy and their staff costs.

Frequently asked questions

An inventory is taken close to the completion date and valued at cost, deducting anything damaged, expired or hard to sell. It is often agreed separately from the price of the business, which pays for its capacity to generate profit.

Yes, and that is the most common case. The key lies in the lease: whether it allows assignment to the buyer, on what terms and how many years remain. It is worth reviewing it with a legal adviser before starting the sale.

The franchise agreement usually requires head office to approve the new franchisee and may set conditions or preferential rights. The buyer will have to meet the brand's requirements, so it is worth involving head office from the start.

Yes, if it generates real, measurable sales. The buyer will want to see how much it sells, at what margin, how much it costs to win each order and whether the domain, the website and the customer databases are transferred with the business.

Retailers in the same sector who want another shop, chains looking for specific locations, entrepreneurs who prefer a business with customers and staff to opening a new one and, sometimes, the shop's own employees.
